Terms & Conditions

These terms and conditions are deemed to be accepted by our Customer once the Sales Order Form has been signed and dated or on receipt or Sales Order by email, telephone, post, fax etc.

Prices and Specification

Goods will be invoiced at prices current at date of order. We reserve the right to alter prices and or specifications without notice except where an order is received against a firm quotation within the period of validity of the quotation.

All sizes and dimensions are approximate.

Delivery

Subject to availability we endeavour to supply goods by the requested delivery date. Every effort is made to send complete orders: however, we reserve the right to make part deliveries due to external factors beyond our control. Items which cannot be despatched for immediate delivery will become balance orders to be despatched at a later date. It is at our discretion to rectify any non-delivery either by way of further delivery or by issue of a Credit Note. We cannot accept liability for loss or damage arising from non-delivery. This exclusion of liability does not apply to claims for loss or damage arising from death or personal injury.

Cancellation of Orders/Returns

Returns will not be accepted except by prior arrangement agreed with us. A charge will be made for work undertaken upon the time the written notice of cancellation is received.

Retention of Title and Risk

All goods supplied remain our sole and absolute property both in law and equity until you have paid us the full invoiced price (including carriage charged where applicable). Risk passes to you at the time of delivery. Customers are advised to take out insurance cover in respect of goods once they have been despatched to customers premises.

Copyright

Products are based on our own intellectual property rights and we retain absolute copyright of these, actionable in law for any breaches there of.

Payment Terms

All accounts are set up on a prepay basis. Although Design 2d UK reserves the right to change prices of account or services at any time - all pricing is guaranteed for the period of prepayment. Payment is due each year or month following the date the account was established. Customers will automatically be charged again at the end of their period unless closure notification has already been given. A months notice of cancellation of account is advised.

In situations where the card details are declined Design 2d UK will immediately suspend the facility to purchase the service on-line until the outstanding charge is processed successfully. We also reserve the right to suspend other services until the outstanding debt is cleared. The customer is responsible for all money owed on the account from the time it was established to the time the customer sends a written cancellation request.

Bills and invoices may be sent by email shortly after on-line purchase has been made. At this point the customer's card will be charged automatically.

All accounts/orders will be by Pro Forma Invoice unless otherwise stipulated.

Variations of these Terms and Conditions

Any variation to these Terms Conditions will only be recognised where we have provided written agreement.

Covering Law

These Terms and Conditions and every contract made pursuant hereto and any dispute arising in any way out of or affecting these Terms and Conditions and every contract aforesaid shall be governed in all respects by, and in accordance with, current English Law and you accept the non-exclusive jurisdiction of the English Courts.

Design 2d UK also provides web page design and hosting. We reserve the right to suspend or cancel a customer's contract or access to any or all our services, if the account has been inappropriately used.

Design 2d UK reserves the right to refuse service and/or access to anyone.

Design 2d UK would not permit any of the following:

Illegal material - this includes copyright works or any material in violation of any Federation, State or Local authority.
Adult material - includes all pornography

Payment Options

In order to streamline our accounting procedure, we offer a limited number of payment options.

The Credit / Debit Cards accepted are:

MasterCard
Visa
Switch
Delta
Credit/debit card number, expiry date and issue number will be required for confirmation over the phone.

Cheques Payment:

This option is available to all customers. A credit/debit card number and expiry date will still be required for confirmation. Design 2d UK can not guarantee that a service will be provided until after any received cheques have been cleared.

Cancellation and Refund

Design 2d UK reserves the right to cancel the service or order of service anytime. In this event the customer will be entitled to a partial refund based upon the remaining period of membership. If the customer contravenes Design 2d UK's terms of service a refund will not be issued in the event of a cancellation.

All contracts are subject to a minimum of twelve months

Indemnification

Customer agree that it shall defend, indemnify, save and hold Design 2d UK harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against Design 2d UK, its agents, its customers, its offers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by its agent or employee or assigns.

Customers agree to defend, indemnify and holds harmless Design 2d UK against liability arising out of:

Any injury to person or property caused by any products sold or otherwise distributed in connection with Design2d UK.

Any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party.

Copyright infringement, and any defective products sold to customers from Design 2d UK.

Disclaimer

Design 2d UK will not be responsible for any damages your business may suffer. Design2duk makes no warranties of any kind, expressed or implied for services we provide. Design 2d UK disclaims any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, nondeliveries, wrong delivery, and any and all services interruption caused by Design 2d UK and its employees. Design 2d UK reserves the right to revise its policies at any time.
